The T&Cs are as follows:
- The Freelancer agrees to not explicitly charge extra to ‘make up’ for or offset the Cut.
- This means you cannot increase your prices by 15% (as an example) to avoid the Cut.
- The Freelancer agrees to be professional and respectful.
- The Freelancer agrees that payments from the Client can only be paid to DR Invoices and the Freelancer cannot accept direct payments from the Client.
- The Freelancer agrees they will only be paid by DR in accordance with Clause X and Clause IX.
- In the case where the Client is also a DevRoom Freelancer, the Client may opt to pay the Freelancer directly at the Freelancer’s discretion with no repercussions from DevRoom. In such case, the Client, Freelancer and DevRoom forfeit their and our agreement to the DevRoom Terms and Conditions for this specific Product. For any other Product, the DevRoom Terms and Conditions apply in its stated form and are understood as represented.
- If the Freelancer decides to accept payment directly, avoiding DR Invoices, the Freelancer forfeits the right to be protected by DevRoom in the event of a refund, chargeback, or any return of monetary funds.
- The Freelancer forfeits the right to handle the Product in DR and must complete the Product outside of DR permitted channels.
- The Freelancer forfeits the right to have a Commission Manager handle their Product, Payments and the Client and must undertake the duties of the Commission Manager solely.
- The Freelancer understands that, for the best possible outcome, the Payment should be processed through DR Invoices and handled by a Commission Manager.
- The Freelancer agrees to only give the Client access to the Product once the Invoice has been fully paid.
- The Freelancer agrees to not message or contact the Client outside of the Product Ticket or DevRoom permitted channels except in the circumstance where the Client is also a DevRoom Freelancer.
- The Freelancer agrees to not contact any DevRoom Client(s) externally where the Client has been explicitly found through DevRoom and external contact was not conducted before the Client joined DevRoom except in the circumstance where the Client is also a DevRoom Freelancer.
- The Freelancer agrees that only DR Freelancers can, but not limited to, work, partake, plan, execute or complete work on Products.
- The Freelancer agrees to provide all verification and/or proof of legitimacy on request from the Client.
- The Freelancer agrees to provide the Product in the Product Ticket on completion and full payment of the Invoice.
- In the circumstance where the Product is being handled outside of DR due to Clause III.B the Freelancer must provide the Product to the Client in any other form, such as, but not limited to, direct messages.
- The Freelancer agrees to only be paid once the Product is completed and bug-free, issue-free and complication-free in accordance with Clause XIII of the DevRoom Terms and Conditions.
- The Freelancer agrees that DR will hold the monetary funds relating to the Product in DR’s assigned location. This may be a bank account, PayPal balance or other.
- The Freelancer agrees that they will be paid via a proprietary payment method.
- Via ‘Goods and Services’ on PayPal, or
- Via Wise to a bank account.
- The Freelancer understands that DR will not reuse, repurpose, redistribute or sell the Product(s) made for Clients.
- The Freelancer understands that DR reserves the right to change the Fee and Cut at any time.
- The Freelancer understands that DR reserves the right to change, modify or update the T&Cs at any time.
- The Freelancer must immediately follow the updated T&Cs if the T&Cs are changed, modified or updated.
- The Freelancer agrees that refunds may be issued in certain circumstances to the Client. This Clause is still applicable when the Client is a DevRoom Freelancer in relation to Clause III.B. The Freelancer must return the monetary funds if the following terms apply or under the discretion of the Director.
- If the Product has a Deadline and the Deadline has been exceeded and the Deadline is not a Void Deadline. The Client may be eligible for a refund of 5% per day of the invoice total subtracting the Fee up to a maximum of 40% refunded.
- If the Product is unsatisfactory in the opinion of the Client. The Client may be eligible for a refund up to a maximum of 15% of the invoice total subtracting the Fee.
- If the Product is substandard and does not accurately reflect the requirements and description of the Product. The Client may be eligible for a refund up to a maximum of 35% of the invoice total subtracting the Fee.
- If the Product is more than or equal to 90% incompleted upon exceeding the Deadline. The Client will be eligible for a refund of the total received from the Payment.
- If the Freelancer discontinues progress of the Product. The Client will be eligible for a refund of the total received from the Payment.
- If DR cancels the service - only where the Client is in compliance with the DevRoom Terms and Conditions. The Client will be eligible for a refund of the total received from the Payment.
- If the delivery of the Product is substandard the Client may be eligible to a refund up to a maximum of 30% of the invoice total subtracting the Fee. Substandard delivery of the Product includes, but not limited to:
- Exceeding the quoted timeframe by a significant margin for an unexplained and/or unjustified reason, where the Product request, description or information has not changed since quotation.
- The Freelancer has lied, been untruthful and/or misled the Client.
- The Product is buggy, not working or has issues and the Freelancer of the Product is being unhelpful, not providing updates, fixes or bug-fixes in an adequate time frame.
- The Freelancer agrees that progress will not be made on the Product until the Invoice relating to the Product has been paid.
- For Products that the Client has immediate access to, the Invoice will need to be paid in full by the Client, at 100%.
- For any other Products, the Client must pay, at minimum, 50% of the Invoice for progress on the Product to commence.
- If the subtotal of the Invoice is less than $/£/€5.00, the invoice will need to be paid in full by the Client, at 100%.
- The Freelancer agrees with Clause VII of the DevRoom Terms and Conditions. The Freelancer is able to charge extra for Commercial Licences at the Freelancer’s own discretion. However, the Freelancer must follow the Commercial Licence format set out in DevRoom Terms and Conditions Clause VII.A-C.
- The Freelancer agrees that DR has the right to store backups of the Product.
- The Freelancer agrees that DR has the right to change the freelancer completing the Product for the following reasons. The Freelancer also agrees that DR does not need to provide compensation for progress on the Product.
- The Freelancer has provided inadequate updates relating to the Product.
- The Freelancer has surpassed the Deadline.
- The Freelancer has made inadequate progress on the Product.
- Any other reason subject to the discretion of the Director.
- The Freelancer agrees that DR reserves the right to display, showcase or otherwise show the Product on DR social media, including, but not limited to, Facebook, Twitter, Instagram and Discord.
- Upon agreement by the Director, this clause may be void.
- The Freelancer agrees that they are able to request extra charges for the Product (“Extra Charge”) if the Client requests changes, additions, retractions or otherwise updates to the Product during Product completion. The Freelancer may request an Extra Charge for the following reasons:
- The Client has a drastic change in mind in regards to the Product.
- The Client has a drastic change required/requested in the Product.
- The Client has requested extras, additions or otherwise add-ons to the Product that were not originally requested.
- The Client wishes for a Deadline.
- The Freelancer agrees that once the Product has been completed, the Freelancer must provide 30 days of free support (“Support Days”) to the Client in relation to the Product. Support Days have a strict use-case - terms of the Support Days may change subject to the Freelancer discretion but must at a minimum hold the following terms:
- The Client can request the Freelancer to fix issues, problems or bugs that have arisen in the Product that were caused by DR or the Freelancer.
- The Client can request the Freelancer to fix inconsistency between texts and messages in the Product where applicable.
- The Client can request changes to the Product subject to the discretion of the Director.
- The Director shall only agree to the changes in the Product after a thorough review of such changes and determine whether the impact on the Freelancer is suitable based on the request from the Client.""
